The Nalu’ea Trust subscription is patient capital subscribing to a governance instrument, not a return-bearing fund. The operating characterization is charitable-trust participation outside §2(a)(1), with Reg D 506(b) defensive backstop. Beneficial interests are offered without general solicitation, to accredited investors verified at intake, with Form D notice filing within 15 days of first sale. No registration under Reg D, Reg CF, or Reg A is required under either characterization; the Form D is a notice filing, not a registration event. The two-character posture is deliberate: the charitable-trust frame is the primary read, and the 506(b) defensive backstop is what counsel of record can lean on if any aspect of the beneficial interest is later construed as a security under Howey.

Counsel-of-record review is required before any subscription is solicited. The licensed securities lawyer in the Trust’s situs state issues the written opinion on the operating characterization, drafts or reviews the PPM, and prepares the Form D and state notice filings. This is non-negotiable in the underlying analysis and non-negotiable on this page. The Protocol does not solicit, accept, or even orally negotiate a Nalu’ea subscription before that retainer is in place.

Why this rail, not the other

Patient capital that wants alignment over return.

The foundation officer with a balance-sheet PRI mandate takes the Recoverable PRI rail. The patient impact LP with a regenerative-finance thesis and a tolerance for non-distributive structure takes Nalu’ea. The choice is about whose theory of change centers governance alignment over recovery economics. Patient impact capital cannot live on the charitable rail; the program officer has no instrument for what the capital is doing, and the giving line on the balance sheet is the wrong line. The same capital cannot live on a conventional fund rail either; the recycling commitment, the multi-year horizon, and the binding sovereignty covenants do not fit a vehicle whose fiduciary duty runs to LPs seeking a return.

The Nalu’ea Living Trust is the vessel that holds both truths at once. An investment vessel in the legal sense, an alignment vessel in the operational sense, structured so the recycling-not-distribution commitment cannot be revised by subsequent capital and the sovereignty firewall cannot be softened by a later trustee. The subscriber buys a relationship to the work, not a position in a fund. The Trust holds; the bioregions decide; the recycling continues.

The sovereignty firewall

Contractual law, not aspiration.

The Nalu’ea pathway is the place where bioregional sovereignty becomes contractual law. The subscription agreement names a covenant the subscriber signs into as a condition of subscribing.

The subscriber will not compel, vote on, or otherwise influence community-level Flow Fund stewardship. The subscriber will not extract, commercialize, or redirect community-held cultural assets surfaced within the Protocol. The subscriber will not redirect proceeds inconsistent with Protocol stewardship.

Breach is a material default. The Trust holds the contractual right to redeem the beneficial interest at par or at structured discount and unwind the subscription. The clause is binding, not aspirational. It converts what is otherwise unwritten cultural understanding into enforceable law in the Trust’s situs jurisdiction.

The communities are not the asset. They are the work. The river does not belong to the mill. This page exists so a subscriber reads those sentences as the contract they are about to sign, and not as the marketing copy they are about to forget.

    Letter of inquiry

    A short LOI exchange to align on subscription size, alignment covenants, and the role of counsel of record in the Trust's situs state. No subscription paperwork is exchanged before the counsel-of-record review.

  3. Step 03

    Counsel-of-record review

    Counsel of record in the Trust's situs state reviews the operating characterization (charitable-trust participation with Reg D 506(b) defensive backstop). A written opinion is issued before any subscription closes. This step is non-negotiable.

    Subscription agreement
